By accessing/using brandsandagencies.co.uk, the User is agreeing to be bound by these Terms of Use.

Definitions

In these Terms of Use:

Brands and Agencies refers to the UK website brandsandagencies.co.uk and hereby referred to in these conditions as BAA.

“User” refers to any person using, either free of charge or paid access, the information contained in BAA.

Use of Data

BAA allows the User to access and make use of the information available in BAA under the conditions described herein. BAA is a free to access web platform aimed at implementing BAA’s objective to assemble and disseminate information concerning the commercial relationships relating to the provision of marketing services activities between brands and agencies in the UK. For public information purposes.

The User is forbidden to:

  1. perform automated queries;
  2. perform bulk acquisition, bulk downloading, and bulk storing of data;
  3. perform bulk copying, bulk reformatting, bulk sharing and bulk redistributing of data;
  4. perform web scraping;
  5. perform any other abusive use degrading or circumventing the service.

Under no circumstances may the data made available through BAA be sold or sublicensed by the User in any way without BAA’s contracted permission.

When using or reproducing the data provided in BAA, the User shall identify BAA” as the source and indicate the following disclaimer: “BAA bears no responsibility for the integrity or accuracy of the data contained herein, in particular due, but not limited, to any deletion, manipulation, or reformatting of data that may have occurred beyond its control.”

BAA reserves the right to intervene and block access to BAA in case of unauthorised or abusive use of the service.

Level of Service and Other Relevant Service

BAA is provided by BAA on a “best effort” basis, 24 hours per day, 7 days per week. This service may be unavailable from time to time for scheduled maintenance or due to unforeseen circumstances.

Product licence and term

Any Licence granted to the User to access and publish information on BAA shall be a non-exclusive, non-transferable limited annual licence for an agreed number of User(s) to access and publish information on BAA. 

The Licence Agreement shall (subject to suspension and/or early termination in accordance with the Licence Agreement) continue for a period of one year or as specified by a specific agreement reached separately.

Engagement and presence on BAA

BAA reserves absolute rights as to which agencies or brands are allowed to appear on BAA. If BAA believes that either brands or agencies are supplying incorrect information, BAA will immediately remove said information and the brand and/or agency presence. In particular, if BAA receives information believed to be accurate and obtained directly from brands themselves about the legitimacy or issues surrounding particular agencies’ relationships to brands and/or the range and quality of services provided, BAA will use its discretion and if deemed appropriate to remove the agency concerned from appearing on BAA, it is entirely BAA’s decision, not the User’s nor the agency’s.

Disclaimers

BAA makes every effort to ensure, but cannot guarantee, the accuracy and completeness of the data contained in BAA. The data contained in BAA is provided on a strictly “as is” basis and the User is fully and solely responsible for the use of the data and for any results and consequences of this use.  

BAA information is provided by brands and agencies submitting information to BAA and from a variety of other sources whereby researchers from BAA identify research information viewed as appropriate for use in BAA. BAA will in normal trading conditions provide best endeavour to update or amend any information it is reliably advised in incorrect but it will always be at BAA’s ultimate discretion as to what, if any, changes or amends are required: changes are at BAA’s discretion not the User’s.

Hyperlinks to third party websites – whether to brand or agency web sites or to third party or partnering organisations’ websites, do not imply either responsibility or approval of the information contained in those other websites on the part of BAA. BAA makes no warranty, either express or implied, as to the legality, accuracy, or availability of such information.

Any search result generated by the BAA search tool does not imply the expression of any legal opinion or commercial validation whatsoever on the part of BAA concerning the likelihood of confusion or commercial conflicts between any parties who may have followed a route of action on the basis of search information form usage of BAA.

Modifications of Data

BAA reserves the right to modify, remove or correct any data contained in BAA at any time, in its sole discretion and without prior notification.

Liability

BAA shall not be held liable for any or all uses of the data contained in BAA and any or all search results generated by its search tool that may affect or violate any patent, trademark, copyright, trade secret, other intellectual property right or any legal right of any third party.

BAA shall not be liable for any indirect, incidental, consequential, liquidated, special, punitive or exemplary damages or penalties to the User, including, but not limited to, losses of business, revenue or profits, as a consequence of using any of the data contained in BAA

BAA shall not be liable or deemed to be in default for any delays or failure in performance or interruption of service resulting directly or indirectly from any cause or circumstance beyond its reasonable control.

User Login Information

The User may create a BAA account. As part of the registration process, the User is asked to choose a login name and a password (“login information”) for identification purposes. The User’s login information is personal and confidential. The User shall be responsible for any damages arising out of, or in connection with, the disclosure of his/her login information to anyone. The User agrees to notify BAA of any unauthorised use of his/her login information as soon as he/she is aware thereof.

Intellectual Property

The User does not have the right to use the BAA logo unless it is specifically authorised by BAA.

The User recognises that BAA, as well as the particular form of compiling data, the presentation and design of BAA are protected by applicable IP laws.

Amendments to the Terms of Use

BAA may amend these Terms of Use at any time at its sole discretion. Unless stated otherwise, amendments shall take effect immediately following amendment of the new Terms of Use.

Privileges and Immunities

Nothing in or relating to these Terms of Use shall be deemed or interpreted as a waiver of any privileges and immunities accorded to BAA as a UK trading company. BAA is a trading name wholly owned by Prolific North Limited whose registered office is 16 Fairfax Ave, Manchester M20 6AJ.

Settlement of Disputes

Any dispute between BAA and the User arising out of or relating to these Terms and Conditions of Use that cannot be resolved amicably shall be referred to UK Arbitration Rules then in force. The parties shall be bound by any arbitration award rendered as a result of such arbitration as the final adjudication of such a dispute.

Cancellations and Renewals

All cancellation requests must be made in writing to hello@brandsandagencies.co.uk. Your membership subscription will renew automatically every year and you will receive a one month reminder ahead of the renewal date to the email address you provided when signing up.

There is no refund of the subscription fee, either full or partial, should a user wish to cancel their subscription after the renewal date or the initial subscription date. However, the user has the right and the option to retain and amend their presence on the BAA website for the period which would otherwise have been covered by the subscription period.
